Ballasts will be on display at trade show later this month; fixtures expected to be test marketed and sold during the first quarter
SAVANNAH, Ga., Jan 07, 2010 (BUSINESS WIRE) — PureSpectrum (OTCBB: PSRU) has processed its first order for dimmable electronic ballasts for linear fluorescent fixtures, and the company plans to begin contract manufacturing dimmable linear fluorescent fixtures in the United States later this month when the initial shipment of ballasts arrives from its Chinese manufacturing partner. The company is partnering with an established U.S. lighting manufacturer to build dimmable T8 linear fluorescent fixtures in multiple styles according to market demand. The T8 fixture is rapidly becoming the standard lighting application for commercial and industrial lighting, and the ongoing quest for energy conservation in lighting has made increased energy efficiency for linear fluorescent lighting a top national and global priority.

The step-dimming electronic ballast to be used for PureSpectrum’s linear fluorescent fixtures has gained approval from Underwriters Laboratory (UL), and the company plans to immediately begin offering two-lamp, three-lamp and four-lamp dimmable T8 linear fluorescent fixtures. PureSpectrum has been engaged in ongoing discussions with more than one national distributor expressing interest in carrying the step-dimming ballast. The dimmable ballast will make its debut at an energy forum this month in Spartanburg, S.C., hosted by All Phase Electrical Distributors that will be attended by several major electrical component manufacturers as well as potential end users such as hotel chains, school districts and retail clothing companies.

The purchase order for the step-dimming electronic ballasts was submitted in December, and during the first quarter of 2010 PureSpectrum expects to be able to conduct test marketing to introduce both the dimmable ballast as a standalone product and the fixtures in selected metropolitan areas with multiple electrical distributors. Additionally, the company has begun the process of registering multiple versions of the dimmable fixtures with the U.S. General Services Administration (GSA), the federal government’s clearinghouse for qualified goods and services and a conduit to government retrofit and new construction projects throughout the country.

PureSpectrum anticipates submitting its application to the GSA before the end of the month, and upon approval of PureSpectrum’s dimmable linear fluorescent fixtures, the company will gain access to procurement entities within the federal government as well as large scale federally funded construction projects through being listed in the GSA Advantage! online catalog for approved vendors.

Linear fluorescent lighting continues to be the most prevalent lighting application for the commercial and industrial market, and dimmable fluorescent lighting is considered a gateway to increased energy conservation by allowing commercial and industrial structures to take advantage of green lighting strategies such as daylight harvesting, occupancy sensing, peak lighting and other systems which depend on dependable dimming. Lighting industry experts expect the ballast retrofit market for linear fluorescent lighting to exceed $100 billion during the next few years, and the market for cost-effective dimmable electronic ballasts is expected to soar as alternative lighting concepts are proven to be effective for energy management. Concurrently, new construction is expected to increasingly incorporate dimmable fixtures in order to take advantage of energy efficient lighting systems which depend on dimming.

PureSpectrum’s product portfolio currently includes multiple wattage dimmable bare spiral Compact Fluorescent Lamps (CFL), the three-step dimming ballast and multiple dimmable T8 linear fluorescent fixtures. The company plans to complete development of a continuous dimming ballast for linear fluorescent fixtures in 2010, and, following the completion of product development for the continuous dimming ballast, PureSpectrum expects to be able to augment its product offerings with multiple continuous dimming linear fluorescent products.

“The market for dimmable energy efficient lighting products is in its infancy, but it continues to grow exponentially as it becomes clear that dimming is critical to green lighting strategies,” said PureSpectrum program sales manager David Hill. “PureSpectrum’s dimmable linear fixtures will be some of the only dimmable linear fluorescent fixtures in the entire GSA catalog, and we believe our early entry into this market will provide us with an advantage as we introduce our products and their benefits nationwide. Additionally, being accepted into the GSA schedule will immediately increase the credibility for the quality of our products as we take these products into other markets.”

President and CEO Lee Vanatta to Present at Conference Sponsored by the New York Society of Security Analysts

Vanatta will be a presenter at conference titled “The Future of Energy Investing: Exploration, Production and Clean Technology Conference”

SAVANNAH, Ga., Nov 03, 2009 (BUSINESS WIRE) — PureSpectrum, Inc. (Pink Sheets: PSPM) president and CEO Lee Vanatta will be a presenter at the Future of Energy Investing: Exploration, Production and Clean Technology Conference sponsored and hosted by the New York Society of Security Analysts (NYSSA) on November 4.

PureSpectrum is an emerging company in the energy efficient lighting sector, and Vanatta will discuss the potential long-term and short-term impact the company could have on the global lighting market through its approach to identifying, developing, branding and marketing energy efficient lighting products. The company’s market research found that lack of dimming capability was a primary consumer complaint about Compact Fluorescent Lamp (CFL) bulbs, and in 2009 PureSpectrum launched a 20-watt dimmable Compact Fluorescent Lamp (CFL) that outperforms other brand name dimmable CFLs.

During the NYSSA conference, Vanatta will address how the company will continue to apply a market driven development strategy to direct product development as well as identify opportunities within the market for high performance energy, cost effective energy efficient lighting.

“The global lighting market is enormous and is experiencing an important period of transition as the incandescent bulb and its inadequate performance standard is legislated out of existence and consumers search for trustworthy energy efficient lighting alternatives,” Vanatta said. “Our company is dedicated to promoting the use of high quality, energy efficient lighting products by bringing to market products and technologies which specifically address consumer needs and complaints. Our goal is to continue putting the consumer’s needs first as we develop and discover new products and technologies that can benefit the global quest for energy efficiency.”

In the United States, PureSpectrum has begun its sales efforts for its initial product offering by developing relationships with the utilities industry through direct marketing and through distributors that service power providers. Virtually all utility companies in the country have initiated programs that promote CFL bulbs by putting the bulbs into the hands and sockets of the customers. As a result, utility companies are primary purchasers of CFL bulbs and are searching for high quality bulbs which will satisfy their customers and increase the usage of the bulbs.

PureSpectrum is striving to become a leading provider of dimmable CFLs to utility companies demanding dependable dimmable energy efficient lighting products in response to feedback from consumers. Approximately 20 percent of the 5.5 billion sockets in the United States are attached to a dimmer, which makes identifying a replacement for easily dimmed incandescent bulbs with reliable dimmable energy efficient lighting a top priority for consumers and retailers during the next few years.

In 2010, the company plans to add to its product line by launching additional CFL products as well as products which address the needs of the commercial and industrial sectors of the lighting markets. Specifically, the company is working to develop technology and products to enhance linear fluorescent lighting, the largest segment of the commercial and industrial lighting market.

Call (912) 961-4980 for more information about PureSpectrum or visit www.purespectrumlighting.com to watch a video demonstrating the performance of PureSpectrum’s 20-watt dimmable CFL compared to a brand name dimmable CFL.

Business Combination Transaction between PureSpectrum, Inc. and International Medical Staffing, Inc. Nearing Completion

Record date for share exchange established as November 3 — current PSPM shareholders will hold free trading shares of successor entity following share exchange

SAVANNAH, Ga., Oct 29, 2009 (BUSINESS WIRE) — The business combination between PureSpectrum, Inc. (Pink Sheets: PSPM) and International Medical Staffing, Inc. (OTCBB: IMSG) as reflected in the Agreement of Purchase and Sale and Plan of Reorganization entered into earlier this year by the two companies is almost complete.
The transaction is currently scheduled to close on November 3, at which time IMSG will change its name to PureSpectrum. The close of the transaction will trigger the initiation of a share exchange for current PureSpectrum shareholders, and the issuance of replacement notes, debentures and warrants to current holders of PureSpectrum notes, debenture and warrants. Following the closing of the combination transaction, current PureSpectrum will commence dissolution proceedings.

At closing, the assets of PureSpectrum will be transferred to IMSG and current PureSpectrum shareholders will be eligible to exchange their shares for registered shares in IMSG which will change its name to PureSpectrum. The record date for participation in the share exchange will be the close of business on November 4. Trading of current PureSpectrum stock should not occur after market close on November 4. Shares of current PureSpectrum stock acquired after November 4 will not be eligible for participation in the share exchange. Once the name change is effective, it is anticipated that the Financial Industry Regulatory Authority (FINRA) will clear the registered shares in “new” PureSpectrum for trading on the OTC Bulletin Board on November 3.

It is anticipated that PureSpectrum’s existing transfer agent, Transfer Online, will issue transmittal letters to PureSpectrum shareholders on November 4 or November 5 providing direction for PureSpectrum shareholders to exchange PureSpectrum shares for registered shares of the “new” PureSpectrum.

PureSpectrum president and CEO Lee Vanatta said he believes the successful completion of the business combination and the company’s enhanced visibility as a fully reporting company on a national stock exchange could enable the company to augment and expedite the company’s efforts in other areas. Vanatta also said the conclusion of the process which the company believes will eventually materially enhance shareholder value will also permit the company’s management to focus on achieving important objectives in core business areas such as product development, engineering, sales and marketing.

“This business combination represents the successful completion of an enormous amount of work done by the company’s management and our legal team as well as the accomplishment of a critical corporate objective that we pledged to our shareholders we would accomplish this year,” said PureSpectrum president and CEO Lee Vanatta. “Most importantly, as a result of the successful completion of this transaction we have potentially given the company the tools and resources it needs to increase the possibility of reaching additional corporate objectives such as a large scale product launch and international sales and marketing campaigns.”

Through the business combination with IMSG, PureSpectrum hopes to facilitate the accomplishment of several important corporate objectives: improving and enhancing the status of the company’s common stock, achieving fully reporting status, creating additional transparency, building the company’s credibility with all audiences and constituencies, providing greater liquidity for the company’s shareholders and providing the company access to new capital markets.

“The completion of this transaction and trading on the OTC Bulletin Board potentially could have multiple benefits for PureSpectrum and its shareholders,” said David Michael Conner, general counsel for PureSpectrum and a member of PureSpectrum’s board of directors. “We believe this strategy will serve the needs of the company and will facilitate the company’s ability to achieve its goals.”

Advanced as S-4 Registration Statement Rendered Effective by SEC

SAVANNAH, Ga., Oct 09, 2009 (BUSINESS WIRE) — The Securities and Exchange Commission has rendered effective the S-4 registration statement filed by International Medical Staffing, Inc. (OTCBB: IMSG) in September, furthering the proposed business combination transaction between IMSG and PureSpectrum, Inc. (Pink Sheets: PSPM) as well as efforts to improve the trading status of PureSpectrum’s common stock.

The S-4 registration statement being declared effective is an important step toward the culmination of PureSpectrum’s efforts to facilitate the accomplishment of several critical corporate objectives: improving and enhancing the status of the company’s common stock, achieving fully reporting status, creating additional transparency, building the company’s credibility with all audiences and constituencies, providing greater liquidity for the company’s shareholders and providing the company access to new capital markets.

“It is a tremendous accomplishment for PureSpectrum and its stakeholders to have completed this process efficiently and to have achieved fully reporting status,” said David Michael Conner, general counsel for PureSpectrum and a member of the company’s board of directors. “It is truly remarkable to consider all of the hard work that has gone into completing a process which provides so many benefits for the company. After thoroughly reviewing the needs of the company and establishing objectives, we identified and executed an appropriate strategy that we believe materially enhances the value, transparency and credibility of the company.”

On June 3, 2009, PureSpectrum acquired a controlling interest in a Delaware company called International Medical Staffing, Inc. (IMSG), a fully reporting company whose stock has been admitted for trading on the OTC Bulletin Board. PureSpectrum and IMSG entered into an Agreement of Purchase and Sale and Plan of Reorganization (”Agreement”). which provided that IMSG would acquire all of the assets and assume all of the liabilities of PSPM. In exchange, IMSG will issue one share of IMSG common stock for each share of PureSpectrum common stock outstanding and will replace outstanding PureSpectrum warrants and convertible debentures with IMSG warrants and debentures with material terms identical to the warrants and debentures being replaced.

As a result of the S-4 registration statement being declared effective, the IMSG shares received by the PureSpectrum shareholders and the shares of common stock underlying the IMSG substitute warrants and debentures are now registered under the Securities Act. Once the share exchange occurs, PureSpectrum shareholders other than affiliates generally will be able to freely sell their replacement IMSG shares on the open market.

Following the combination of the two businesses, IMSG will ultimately change its name to PureSpectrum. The current PureSpectrum will dissolve. As disclosed in the S-4 registration statement, the net dilution for each shareholder will be less than one percent (.008369 or 0.8369%) as a result of this business combination.

“The S-4 being rendered effective by the SEC is a seminal milestone in our a corporate history as we continue to strive toward our goal of becoming a fully reporting company,” said PureSpectrum president and CEO Lee Vanatta. “Our shareholders are a primary concern for us, and we feel that throughout this process our decisions have been focused on attempting to identify the course of action that would be most likely to enhance shareholder value. As the company moves forward and hopefully achieves additional benchmarks, we will continue to make our shareholders the top priority in our decision making process.”

ATLANTA, Sep 28, 2009 (BUSINESS WIRE) — i Brands Corporation (OTC: IBRC), www.ibrandscorp.com, announces negotiations are underway with a Canadian marketing firm to create a joint venture between the two companies for a Canadian national roll-out of the i Brands’ Online Ordering System.

According to the Canadian Restaurant and Foodservices Association, there are 83,867 commercial foodservice establishments in Canada generating total foodservice revenues of $59.6 Billion in 2008. Last year approximately 58% of total restaurant sales or $34.6 Billion were “take-out” orders that were generated from approximately 3.8 billion orders from Canadian consumers who ate their meals “off premise.”

i Brands’ online ordering system is targeted to those restaurant consumers who take-out their food purchases and eat their meals outside of the restaurant. The Company prices its online ordering system very similar to credit card processors, whereby the restaurant customer pays the Company a percentage of each order processed through its online ordering system. i Brands goal is to achieve the same share of the Canadian restaurant take-out market as the U.S.

“We are happy with the way negotiations are progressing for the Canadian relationship and we expect the final terms and understanding to be concluded by the end of this week”, states Paul Smith, CEO. “This relationship will firmly establish i Brands in the Canadian market and is the beginning of other similar discussions that are currently taking place within the United States.”

According to the National Restaurant Association, the North American market consists of some 1.1 million restaurant locations generating approximately $617 Billion annually in sales serving more than 78 Billion meal occasions annually. The National Restaurant Associations further quotes that “58% of all restaurant patrons order food for off-premises consumption (take-out).” That relates to some 45.2 Billion orders or $357 billion are take-out in North America.

If one extrapolates a 1% market share as our goal for the North America market, this translates into a potential 452,000,000 orders (transactions) annually through the Company’s online ordering system. This market share goal yields projected revenues for the Company in excess of $175,000,000. This projection does not account for licensing/joint ventures in international markets and possible acquisitions that may present themselves.

About i Brands Corporation

i BRANDS CORPORATION provides leading-edge, innovative online ordering software to the world-wide restaurant and hospitality industry. The Company’s product is a highly intuitive software platform that facilitates restaurant consumers ordering their food online from their favorite restaurant. This innovative software provides the restaurateur quantitative benefits that increase revenues, improves efficiency and increases profitability with a relatively small investment. The Company’s market in the United States consist of 1.1 million restaurants where last year 45.2 Billion meals were ordered as “take-out” generating $357 Billion take-out annual sales. Less than 5% of restaurants in the United States offer online ordering.

Sales Efforts Continue Positive Momentum with Commitment from Southeast Distributor

Established Georgia distributor serving approximately 40 southeastern utilities pledges dimmable CFL order

SAVANNAH, Ga., Aug 26, 2009 (BUSINESS WIRE) — PureSpectrum, Inc. (Pink Sheets: PSPM) has received a commitment to purchase the company’s 20-watt dimmable Compact Fluorescent Lamps (CFL) from an established electrical distributor in Georgia with a 30-year history and a book of business that includes more than 40 rural electrical membership corporations and municipal owned utilities in Georgia and other southeastern states.

PureSpectrum sales program manager Jeff Smith said the distributor processes orders for thousands of CFLs each year from its customers and has been searching for a dependable, high-performance dimmable CFL to diversify its product offering. Smith said the order volume should be finalized within the next 30 days.

“Based on the performance of the bulbs during the demonstration, the demand for this type of specialty product and the lack of a reliable dimmable CFL product on the market, we have received a firm commitment to purchase and initiated an ongoing relationship with a major distributor that is established among utilities in the southeastern states,” Smith said. “We have already entered into discussions about growing the market base as a result of the benefits offered by PureSpectrum’s dimmable CFL. The bottom line is dimmable energy efficient lighting is in demand, and utility companies are asking their distributors to carry these products.”

Smith and fellow PureSpectrum sales program manager Nicholas Peragine traveled through north Georgia last week conducting training sessions and attending sales calls with members of the manufacturer’s representative group that is carrying PureSpectrum’s product line throughout Georgia, Alabama and the Florida panhandle. In addition to providing additional education on the company’s proprietary dimming ballast technology and high quality energy efficient lighting products, Peragine and Smith attended multiple sales calls with lighting distributors and suppliers servicing large territories and multiple industries in Georgia and the southeast.

“Every distributor, supplier and showroom manager was impressed with the performance of the 20-watt dimmable bulb and we generated a tremendous amount of excitement surrounding our product line that has set the table for high sales volume as our full suite of dimmable products comes on line,” Peragine said. “We met with buyers who service both the residential and commercial and industrial sectors, and there was consistently strong interest shown in both the dimmable CFLs and the dimmable electronic ballast for linear fluorescent lamps. Our manufacturer’s representatives all were in agreement that being able to offer a truly dimmable CFL and a cost-effective dimmable ballast will provide PureSpectrum with an advantage in brand separation and capturing market share within a tightly packed industry.”

Interest in the dimmable CFLs and projected sales volume was strong enough for the company to process a volume production run last week for 20-watt dimmable CFLs with PureSpectrum’s manufacturing partner in China, and ongoing sales activity will trigger additional volume production as commitments and purchase orders are received. Last week’s production order is in process and inventory is expected in the United States within 30 days to continue fulfilling orders.

Axcess’ MicroWireless RFID Technology Saves Government Time and Money at U.S. Department of Energy’s Site

DALLAS, Aug 11, 2009 (BUSINESS WIRE) — Axcess International Inc. (OTCBB: AXSI), a leader in automated identification, tracking and sensing solutions, announced today that it has successfully increased worker safety and saved the government time and money by wirelessly automating the process of weighing and identifying loads of radioactive and hazardous materials on transport trucks and automatically generating reports for Washington Closure Hanford. The work is being done at the U.S. Department of Energy’s Hanford Site, a 586-square-mile decommissioned nuclear production complex along the Columbia River in southeastern Washington State.

Although safety procedures and waste disposal practices have improved considerably since the early days of World War II and the Cold War, production of plutonium left hundreds of contaminated buildings and thousands of contaminated waste sites that are now being cleaned up. For example, Washington Closure, one of the Hanford cleanup contractors, is responsible for cleaning up 370 waste sites, demolishing 486 buildings, placing 3 nuclear facilities in interim safe storage and managing the Environmental Restoration Disposal Facility (ERDF), where Hanford’s low-level and mixed cleanup wastes are disposed.

“Axcess’ RFID technology automatically identifies the trucks and containers as they enter the disposal facility. As the trucks go through the scale to be weighed, the truck and container weights, the load weight and the load contents are automatically reported and accessible. This method of record keeping is signicantly better than the manual method used in the past,” said Todd Nelson, a spokesman for Washington Closure. “It gives us an accurate read on exactly how much waste is placed in the disposal facility.”

Axcess’ patented MicroWireless(TM) system at the Hanford Site uses small, battery powered dual-frequency RFID tags that, when automatically activated with a wake-up signal, transmit a wireless ID message 30 to 100 feet to nearby palm-size receivers, which are small enough to be hidden. The receivers are connected via an industry standard interface to existing security alarm equipment and a gate controller to open a gate at the weigh station automatically when an authorized metal mounted FleetTag(TM) on the 28 transport trucks or 720 waste containers is present. Axcess’ reader picks up the identification of the trucks and containers and their profiles. Simultaneously, the containers’ tags are read to determine the weight of the load. The data is relayed to system software where reports are automatically generated in real time, reducing the staff by one shift worker whose job it was to decipher the handwritten reports and enter the data.

An average of 250 containers or 6,500 tons of waste is disposed daily. Drivers will log more than one million miles in 2009 while disposing of nearly one million tons of waste.

“One of the biggest hazards our drivers faced was the repetitive motion of getting in and out of the truck and climbing the five feet up and down to record information at the scales,” said Frank Farmer, Deputy Operations Manager for Waste Operations at Washington Closure. “Automating that process completely eliminated the fall hazard at the weigh station. What was an injury-prone, repetitive process with errors became a transparent operation.”
